TERMS AND CONDITIONS
Harris Learning Solutions, a division of N. Harris Computer Corporation (also referred to as “HLS”, “we”, “us” or “our”) and its affiliated entities provide their services and products to you subject to the following terms and conditions (“Terms”). These Terms govern your use of our website, apps, content, and other products and services provided via our website (“Site”). Please read them carefully before using the Site as they contain the legal terms that govern your use of the Site. By accessing or using the Site, you agree, without limitation, to be bound by all the provisions contained herein.
If you do not accept these Terms, you may not use the site. We reserve the right to change these Terms from time to time and without notice. Please check periodically for any modifications to the Terms and Conditions. In all cases, your continued use of the Site following the posting of any modifications to these Terms constitutes your binding acceptance of the revised Terms.
OWNERSHIP
The Site and all content on the Site, including designs, logos, text, graphics, pictures, software, artwork, video, sound, textbooks, courses, assessments, supplements, and other files and materials (the “Content”) are the property of Harris Learning Solutions and are protected by copyright, trademark, and intellectual property laws. Subject to the limited rights granted in this Terms, Harris Learning Solutions retains the title and all other proprietary and intellectual property rights in relation to any Content and the Site. Users are granted absolutely no rights or licenses to the site other than the limited right to use the Site in accordance with the Terms specified herein.
LICENSE & USER ACCESS RIGHTS
Once you have purchased access to HLS’s online learning and testing program(s), you will be granted a limited, personal, non-exclusive, non-transferable, and revocable license right to access and utilize the learning and testing materials on the Site. This license cannot be transferred and can only be used by one user.
The rights granted herein are only for your personal, non-commercial use, unless you obtain our written permission otherwise. You also agree that you will create, access, and/or use only one user account, unless expressly permitted by HLS, and you will not share access to your account or access information for your account with any third party. Using our Site does not give you ownership of or any intellectual property rights in our Site or the Content you access.
FEEDBACK
We welcome your suggestions, ideas, comments, and other feedback regarding the Site (“Feedback”). By submitting any Feedback, you grant us the right to use the Feedback without any restriction or any compensation to you. By accepting your Feedback, HLS does not waive any rights to use similar or related Feedback previously known to HLS, developed by our employees, contractors, or obtained from other sources.
TERMINATION OF USER LICENSE
A license is only valid for a limited period of time. The time period that the license is valid for will be specified at the time of the purchase. HLS reserves the right to immediately suspend or terminate your license if you violate any of the Terms specified herein.
CONTENT
Changes to Content Offerings
HLS may offer Content from other providers (“Content Providers”). While we seek to provide world-class Content from Content Providers, unexpected events do occur. HLS reserves the right to cancel, interrupt, reschedule, or modify any Content at any time. All Content is subject to the Disclaimers and Limitation of Liability sections below.
Modifying or Terminating our Content/Site
We are constantly changing and improving our Site. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Site altogether. We may not be able to deliver the Site to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments, or for commercial or reputational reasons. None of HLS, its Content Providers, its contributors, and other business partners, and their employees, contractors, and other agents shall have any liability to you for any such action.
No Academic Credit
HLS does not grant academic credit for the completion of Content. Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of Content does not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. HLS and any associated Content Providers have no obligation to have Content recognized by any educational institution or accreditation organization.
TERMS OF USE
You are permitted to download or print a copy of any portion of the Content to which you have properly gained access, but solely for your personal and non-commercial use. In doing so, you must abide by all copyright and other proprietary notices.
You must comply with all applicable laws, rules, and regulations while accessing the Site and the Content. In addition, we expect you to respect the rights and dignity of others. Your use of the Site is conditioned upon your compliance with the rules set forth in this section:
– You shall not, without Harris Learning Solution’s prior written permission license, sublicense, modify, distribute, republish, repost, transmit, sell, or otherwise exploit the Site or any of the Content for commercial purposes. You may not frame the Site or any part thereof on any internet website.
– You shall not post, transmit, or otherwise make available, through or in connection with the Site, (a) anything that could be (i) threatening, harassing, discriminatory, degrading, hateful, or intimidating; (ii) defamatory, fraudulent, or otherwise tortious; (iii) obscene, indecent, pornographic, or otherwise objectionable; or (iv) related to alcohol, wagering, gambling, tobacco products, ammunition, or firearms; (b) anything that could give rise to criminal or civil liability (including any material protected by copyright, trademark, trade secret, right of publicity, or any other proprietary right for which you do not have the express prior consent of the owner of such right or in violation of any contractual, fiduciary, or other legal obligation), or that encourages conduct that would constitute a criminal offense; (c) any virus, worm, Trojan horse, Easter egg, time bomb, spyware, or other computer code, file, or program that is potentially harmful or invasive, or may or is intended to damage or hijack the operation of, or to monitor the use of, any hardware, software, or equipment; (d) any unsolicited or unauthorized advertising, promotional material, or other form of solicitation; or (e) any material, non-public information about a company or any securities or other financial instrument, without the proper authorization to do so.
– You shall not use the Site (a) to defame, abuse, harass, stalk, threaten, harvest, or collect personally identifiable information, or otherwise violate the legal rights of others, including rights of privacy or publicity; (b) to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity, or state or imply that we endorse any of your statements or Submissions (as defined below); or (c) for any other fraudulent or unlawful purpose.
– You shall not interfere with or disrupt the operation of the site or violate any requirements, procedures, policies, or regulations of such servers or networks.
– You shall not restrict or inhibit any other person from using any of the site (including by hacking or defacing the Site).
– You shall not use the Site to advertise or offer to sell or buy any goods or services.
– You shall not modify, adapt, make derivative works of, translate, reverse engineer, decompile, or disassemble the site.
– You shall not remove any copyright, trademark, or other proprietary rights notice from the Site or any Content.
– You shall not, and shall not permit any third party (including automated systems, bots, or artificial intelligence tools) to access, query, or interact with the Site and the Content, in any manner that: (a) extracts, harvests, mines, scrapes, or otherwise collects proprietary data or system outputs; (b) evaluates, analyzes, benchmarks against, reverse engineers or replicates the functionality, processes, workflows, features or algorithms of the Site, or (c) is used to train, develop, or improve any machine learning or artificial intelligence system.
Additionally, you acknowledge and agree that you (and not Harris Learning Solutions) are responsible for obtaining and maintaining all telecommunications, broadband, and computer hardware, equipment, and services needed to access and use the Site and any of the Content, and paying all charges related thereto.
Harris Learning Solutions may terminate your use of any or all of the Site for any conduct that we consider to be inappropriate or for your breach of these Terms, (including if you repeatedly engage in copyright infringement via or in connection with the site).
USER CONTENT POSTED ON THE SITE
Users may have the ability to upload, post, transmit, share, store or otherwise make available content in the public area(s) of the Site, such as a chat-room or a discussion forum. Such postings express the views of the author and Harris Learning Solutions is under no obligation to screen, review or delete posted material prior to it becoming visible to other users. Harris Learning Solutions has no control over and is not liable for the content of any material posted by users.
The materials that users wish to post on the Site:
– shall not infringe any copyright or other proprietary notices;
– shall not contain any viruses or other contaminating components;
– shall not violate these Terms or the Privacy Statement;
– shall not be offensive, illegal or infringe the rights of others; and
– shall not solicit unlawful conduct or constitute commercial solicitation.
Harris Learning Solutions reserves the right to review the Site and may edit, delete, or remove any user posted content, at any time and without notice, if it violates, pursuant to Harris Learning Solution’s sole judgment, any of the provisions outlined in these Terms and Conditions.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Harris Learning Solutions, its Board of Directors, officers, affiliates, employees and agents from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with any user posted content, your use of the Site and Content, your conduct in connection with the Site, or your breach of any of the Terms.
DISCLAIMER
THE SITE (INCLUDING ANY OF ITS POSTED CONTENT) AND ANY GOODS MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE SITE, ARE PROVIDED TO YOU “AS IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. YOU AGREE THAT YOU MUST EVALUATE, AND THAT YOU BEAR ALL RISKS ASSOCIATED WITH, ACCESS TO AND USE OF THE SITE, INCLUDING ANY RELIANCE ON THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY MATERIALS AVAILABLE ON OR THROUGH THE SERVICES. HARRIS LEARNING SOLUTIONS DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SERVICES AND ANY GOODS OBTAINED OR MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE SITE (INCLUDING THIRD PARTY CONTENT, PRODUCTS, AND SERVICES) TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, AND TITLE.
While we try to maintain the integrity and security of the Site and the servers from which the Site is operated, we do not guarantee that the Site will be or remain secure, complete, or correct, or that access to the Site will be uninterrupted.
Through the Site, you may have the ability to access and/or use Content provided by third parties and links to websites and services maintained by third parties. HLS cannot guarantee that such third party content, in the Site or elsewhere, will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, or any files therein. HLS disclaims any responsibility or liability related to your access or use of, or inability to access or use, such third party content.
LIMITATION OF LIABILITY
HLS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, INCLUDING DAMAGES FOR LOSS OF PROFITS, USE, DATA, LOSS OF OTHER INTANGIBLES, LOSS OF SECURITY OF INFORMATION YOU HAVE PROVIDED IN CONNECTION WITH YOUR USE OF ANY OF THE SERVICES, OR UNAUTHORIZED INTERCEPTION OF ANY SUCH INFORMATION BY THIRD PARTIES, EVEN IF ADVISED IN ADVANCE OF SUCH DAMAGES OR LOSSES. IN PARTICULAR, AND WITHOUT LIMITATION, HLS WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, OR FROM ANY CONTENT POSTED ON OR IN CONNECTION WITH THE SITE BY HLS OR ANY THIRD PARTY OR RESULTING FROM ANY RECORDINGS MADE BY HLS OR ITS REPRESENTATIVES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.
THE MAXIMUM LIABILITY OF HLS FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE THE GREATER OF (I) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO HLSD TO ACCESS AND USE THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE FIRST INCIDENT RESULTING IN SUCH DAMAGE, LOSS, OR CAUSE OF ACTION AND (II) ONE HUNDRED DOLLARS USD ($100.00).
SUBSCRIPTION PURCHASES
All purchases of access to this Site represent prepayments of subscriptions to our Content. Should you purchase access to this Site directly from us, and for the avoidance of doubt, not from any third party, and later decide to cancel that purchase, your payment will be refunded as long as you have not used any of the Content and as long as it is within 30 days of the purchase. You may be removed from our system without notice upon losing access through refund or exhaustion of your access period (generally 4 months, unless otherwise specified). All refunds are subject to a 10% administrative fee.
Subscription to your Content will not terminate with the end of the semester. You may continue to access your eTextbook through your HLS account indefinitely. If you access the online resources through direct integration with your institute’s LMS (Learning Management System) and your institute’s account is terminated, you may contact us at [email protected] and we will provide you with alternative access to your HLS account.
GENERAL PROVISIONS
The above stated Terms represent a binding agreement between you and Harris Learning Solutions, which governs your use of the Site, Content, and other products and services offered by Harris Learning Solutions.
Please note that our failure to enforce strict performance of any provision of these Terms and Conditions does not constitute a waiver of such provision. If any provision of this agreement is deemed void or unenforceable, then that provision shall be deemed severable from these Terms and the remainder of the Terms shall continue to be in full force and effect.
GOVERNING LAW & VENUE
These Terms are governed by the laws of the State of New York, U.S.A., without regard to its conflicts of law provisions, and regardless of your location. You hereby irrevocably consent to the jurisdiction of either the state and federal courts located in New York, NY, U.S.A. in any action arising out of or relating to this Terms.
